Dispute Resolution

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Utah and any dispute shall be subject to binding arbitration in West Valley City, UT. If any provision of this agreement shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

 

Class Action Waiver

You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations aren't allowed.

Severability

Class Action Waiver

Assignment

This Agreement shall be binding upon and inure to the benefit of COMPANY and our respective assigns, successors, heirs, and legal representatives. Neither this Agreement nor any rights hereunder may be assigned without the prior written consent of COMPANY Notwithstanding the foregoing, all rights and obligations under this Agreement may be freely assigned by COMPANY to any affiliated entity or any of its wholly owned subsidiaries.

 

Dispute Resolution

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Utah and any dispute shall be subject to binding arbitration in West Valley City, UT. If any provision of this agreement shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

 

Class Action Waiver

You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations aren't allowed.

 

The arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a class or representative proceeding or claims (such as a class action, consolidated action or private attorney general action) unless all relevant parties specifically agree to do so following initiation of the arbitration.

 

Severability

If any clause within these Terms of Service (other than the Class Action Waiver clause above) is found to be illegal or unenforceable, that clause will be severed from these Terms of Service, and the remainder of these Terms of Service will be given full force and effect. If the Class Action Waiver clause is found to be illegal or unenforceable, this entire Provision will be unenforceable and the dispute will be decided by a court.

 

 

Written Testimonies

I hereby irrevocably and perpetually grant to Symphony Natural Health (“SNH”) also known as Natural Health International (“NHI”) its subsidiaries, affiliates, successors and assigns: The right to use my written testimony, in whole or in part, in any of NHI’s websites, books, program materials, marketing materials and programs; the right to use my written testimonial in any fashion NHI uses, in its discretion. I further understand that due to FDA and FTC regulations, all testimonials need to be reviewed for compliance. I understand that in some cases, my testimony may require revision to be FDA and FTC compliant, and I hereby give permission to SNH and NHI to make such revisions on my behalf, with the discretion to keep the integrity and intent of my testimony intact. While SNH and NHI will take appropriate measures to protect my confidentiality, in some cases (e.g. social media channels) my name may be disclosed with my testimony. I hereby give SNH and NHI the right to publish, exhibit and distribute the use of my name and testimonial, in whole or in part, worldwide, for any commercial purpose, including but not limited to the advertising or solicitation of business, by any means of mass and/or electronic media, including but not limited to print, radio, television and promotional materials, events and/or marketing plans. MAP Policy

Maximum Advertised Price Policy

Effective August 2019

 As a condition of being an authorized dealer or distributor of Symphony Natural Health (“SNH”) products, whether brick and mortar, catalog or internet retailer (a “reseller”), the reseller shall comply with all of the following terms and conditions. Failure to do so will result in termination of status as a reseller of SNH products.

MAP Policy Terms and Conditions:

• MAP Policy. The reseller shall comply with the Maximum Advertised Price (“MAP”) policy that SNH maintains for its products. The MAP policy is applicable to all SNH resellers in the United States, Canada, Mexico, Central or South America.

• Advertised Price. The MAP policy applies to all advertisements for any SNH products in any and all media, including, but not limited to newspapers, magazines, catalogues, flyers, coupons, posters, mailers, inserts, email, internet and like electronic media, radio, television, billboards and all public displays. The MAP policy applies to the price at which SNH products are ADVERTISED for sale to individual consumers.

• MSRP. The MAP policy establishes a maximum and minimum advertised price equal to the Manufacturer’s Suggested Retail Price (“MSRP”). The MSRP is set by SNH as indicated by current published pricing supplied by SNH. The advertised price for any SNH product (whether or not the advertised price includes a discount) must be equal to the MSRP, unless pre-approved in writing by a National Sales Manager at SNH. SNH retains the right to modify the MSRP at any time and will notify all resellers of such price modifications. All resellers must implement such modifications within thirty (30) days from the date of receipt of such notice.

• Sales Price. The MAP policy does not apply to or limit actual sales price. Actual sales price for SNH product is within the reseller’s discretion.

• Affiliated resellers. Multiple reseller accounts under different business names or d/b/a’s, but under the control of a common parent corporation or other common owner(s), will be subject to the MAP policy. The reseller shall identify to SNH, in writing, all such affiliated resellers.

• Violation & Termination. A violation of the MAP policy is grounds for SNH to immediately terminate the reseller’s relationship with SNH and authorization to resell SNH products. Upon termination of a reseller’s relationship with SNH and authorization to resell SNH products, SNH shall repurchase, at the reseller’s cost, all SNH products that remain in merchantable condition (as determined by SNH in its reasonable discretion) less 20% restocking fee. The cost of return shipping for such product shall be borne by the reseller.

• General Terms & Conditions. General Terms & Conditions applicable to all resellers are set forth below.

 

General Terms & Conditions

• Marketing & Resale Limitations: The reseller shall not market or sell SNH products (i) via the internet, whether via the reseller’s website or a third party website, (ii) outside of the United States or Canada; or (iii) to any repurchaser or consumer located outside of the United States or Canada, in each case without the advance written consent of SNH, which consent SNH may withhold in its sole discretion.

• Acceptance: The reseller shall inspect all product delivered within two (2) days of delivery. If, in the course of such inspection, any of the product is found to be defective, the reseller may, within three (3) days of delivery, reject same by notifying SNH in writing thereof and returning such defective product to SNH. The cost of such return shall be borne by SNH, but in no event shall SNH be responsible for any amounts in excess of such cost. Upon receipt of such returned defective product, SNH shall, at its option, replace such returned defective product with product that is not defective or refund (or credit) the purchase price paid by the reseller therefor. If the reseller has not timely given notice of rejection and returned product as aforesaid (hereafter collectively, “notice of rejection”), the product shall be deemed accepted.

• Payment: The reseller shall pay all amounts due upon receipt of the applicable SNH invoice, except with respect to product for which notice of rejection is timely given pursuant to the Acceptance clause above. Payment shall be deemed made on the date SNH receives same. Commencing thirty (30) days after date of invoice, interest shall accrue at the rate of ten percent (10%) per annum on the unpaid balance, except with respect to amounts invoiced on account of product for which notice of rejection is timely given pursuant to the Acceptance clause above.

• Warranty & Liability: SNH warrants that the product shall be merchantable. SNH makes no other warranty, express or implied, including but not limited to any warranty of fitness for particular purpose or any similar or other warranty. In no event shall SNH be liable to the reseller for any special, indirect, incidental or consequential damages. In the event of a breach of warranty by SNH, SNH’s liability shall be limited to the purchase price paid by the reseller for the product that gave rise to such breach.

• Compliance with Laws: The reseller agrees to comply fully with all applicable federal, state, or local laws, rules, or regulations, including but not limited to laws and regulations concerning the retail sale of the product.

• Shipping and Risk of Loss: SNH shall cause the product to be shipped to the reseller. The reseller shall be liable for the cost of shipment. Title to the product and risk of loss thereof shall pass to the reseller upon SNH’s delivery of same to a common carrier for transportation to the reseller.

• Governing Law; Disputes: The foregoing terms and conditions, and any invoice(s) relating to the sale of SNH products to the reseller, shall be interpreted in accordance with the laws of the State of California. All claims and disputes between SNH and the reseller relating to the purchase or sale of SNH products, or otherwise, shall be settled by final and binding arbitration in accordance with the then current Commercial Arbitration Rules of the American Arbitration Association. Arbitration shall be in San Francisco, CA, before a single neutral arbitrator selected by the Association and approved by the parties (provided, no party may disapprove more than two proposed arbitrators). SNH shall be entitled to recover its attorney fees and costs incurred in enforcing the foregoing terms and conditions and any related invoice. The arbitrator may grant injunctions or other relief in such dispute or controversy. The decision of the arbitrator shall be confidential, final, conclusive and binding on the parties to the arbitration. Judgment may be entered in any court having jurisdiction. If any provision herein is held to be unenforceable, the remaining provisions shall remain in full force and effect.

• Amendment: SNH reserves the right to amend the foregoing terms and conditions upon 15 days written notice to the reseller at any time.

• Entire Agreement: The foregoing terms and conditions, and any invoice(s) relating to the sale of SNH products to the reseller, constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior representations or agreements, oral or otherwise, with respect thereto.

 

Sales Tax Resale Exemption

Date Effective: May 24, 2023

Sales tax will be charged on all products unless a completed Sales Tax Resale Exemption form is provided.

  • Practitioners are required to collect and pay sales tax on products sold unless the state within which you practice does not require sales tax on supplements.  

  • Symphony Natural Health does not assume responsibility for paying any taxes required to be collected by any state.

  • If tax collection for supplement sales is required by your state, Symphony will send you form appropriate for your state of practice.

The decision to change our name has been coming for some time, and it means a lot to us as it reflects how we have evolved as a company, and expresses who we are now.

In saying that, we are acutely aware that a simple name change means very little if it isn’t backed by actions that reflect, express and support that change, which is why you will start to see and receive a lot more from us.

So, with that in mind, I want to take this opportunity to share with you what our name change means to us and, even more importantly, what this means for you and how your experience with us will change.

First and foremost, we want you to know that all the great things that we already do, and all the many things that you love about us, aren’t going to change at all. Rather, you can expect those things to get even better as we expand and bring in new programs, added support, and new products. 

Our management team realized that we had some amazing ideas and that the foundation of what we wanted to do was in place, but we also recognized that we were in no way living up to our potential of providing what we wanted at the level and depth we know we are capable of.

That all changes today.

For us, the most important thing of all is that we express our Why, and that we achieve our Vision and Mission. Many years ago, we as a company defined exactly what our Why or purpose was: To be Conscious, to Lead in every sense, and to Empower.

For us, this was expressed through the medium of health and our Why pledge: Symphony Natural Health is a conscious company that leads through our vision, our intentions, and our actions, empowering people with the knowledge and solutions needed to achieve and maintain their best possible health.

In order to realize our Why, we defined our Vision and Mission, and through that process recognized that our existing name of Natural Health International didn’t completely reflect who we were now.

The word which kept coming up, whether it was our doctors describing how our products worked within the body, how we created our products, or how we designed our seed-to-shelf operation, was always - Symphony.

Our Vision is, and always has been - to create and support a synergistic Symphony within our body and also between our company, the communities we partner with, and the environment we work in to bring about harmony and health for us, our customers and the world we live in.

We believe that we are all part of a series of complex, interdependent relationships that exist both within the sensitive and finely tuned ecosystems of our bodies, and within the environment and ecosystems around us, and that when these ecosystems are in Symphony it creates harmony and health for all.  

In music, a Symphony is created by a Composer – a person who creates something that is completely new, who understands and combines the individual beauty of each instrument of the orchestra, in perfect harmony.

We see our founders as Composers in the way that they created our unique product line and synergistic seed-to-shelf supply chain.

As reflected by our Why - to Lead - we could not think of nothing worse than introducing a “new” product to the market where there were already 4 or 5 competing products that all did the same thing.  Or a “new” product created by a “DJ” – simply combining existing ingredients together and calling it “new”. Or, even worse, introducing a new product that, according to clinical research there are already  3 or 4 products on the market that are better! What would be the point?

This involves researching what is the ideal species, variety or phenotype in seed selection, discerning which is the best country, environment, soil, elevation and weather to grow it in, and establishing when is the optimal time of the season, day (diurnal cycle), lunar cycle, and method to harvest, in order to optimize the active ingredients in the plant. This process continues by investigating the best way to manufacture each plant so as to concentrate the full spectrum of active ingredients and maximize the bioavailability, only ever using water, temperature, and pressure in the process.

At the same time, we ensure that we are ticking every box our customers want to see - from published human clinical trials, to organic and Kosher certification, to vegan, gluten-free, allergen-free, non-GMO, and completely pure products (strictly excluding excipients, chemicals, colors, flavors or preservatives). Even our packaging meets the strictest standards and includes oxygen and moisture protected blister cards inside each box to optimize stability, recyclable boxes, and printing with vegetable ink. We never take a short cut.

This continues through how our products work in the body. Each product is designed to create a Symphony within the body by returning our cells, hormones, circadian rhythm, or body-detoxification to a state of optimal balance, by restoring us back to harmony and health by addressing the root causes of distress, and by providing renewed support to our foundational health.

Our commitment to individual and collective health culminates in our Triple Bottom Line company culture: Evaluating our social, environmental and economic impact – both internally within our company, and externally in the world.  

We believe in forming deep relationships that are life changing, not just with our customers, but also with our business partners around the world. 

Having worked in developing countries for 22 years we realized early on that by paying 20-30% more through Fair Trade type programs for commodities like herbs or salt, the income of the local communities were significantly improved. 

However, we learned that we could make an even greater impact by establishing strong joint-venture partnerships with the local people to create value-added goods, small industry, and year-round employment, thus injecting up to 10 times the amount of money into those communities and really changing lives.

We achieve this through supporting education in local schools, as well as ensuring there is no child or slave labor used in our operations. 

We believe our social responsibility extends not just to the health of our customers, but to the health and well-being of our team and partners around the world, and that every single person, whether they are working in a mine in the foot-hills of the Himalayas, in our manufacturing facility in Peru, our warehouse in Utah, or our office in San Francisco, should be able to earn a living wage and, most importantly, have a safe work environment. 

To ensure a safe working environment, and to lessen the potential environmental impact on our planet, we do not use explosives in any of our mining processes for Original Himalayan Crystal Salt. But our commitment to having the smallest environmental impact possible extends far beyond our no explosives policy. To minimize the impact we have on local flora, fauna, streams and landscapes, we use only hand-mining techniques to extract our salts and, rather than carve wide roads into the valley and mountainside to cater for large trucks, we make the choice to use man-power and donkeys to transport our crystal stones from the mine to the sorting and packing facilities. And in all of our farming in Peru, Australia, France, and Vanuatu we only engage in organic and sustainable agricultural practices.

We feel that this is all of particular importance now, at a time when many companies in the health industry are being bought up by multinational corporations and are becoming more about profits than helping people, and many of the ways that health is defined and confirmed are fundamentally changing. We believe now, more than ever, that there is a need for our company to Lead by example and be a platform to express our WHY and Vision so as to truly focus on what is best for our customers… especially considering that we ourselves are our own oldest customers! 

We trust, that if we as a company can keep our customers and ourselves healthy and happy for the next hundred years through our products and support, then we as a company are most likely to be around for that same hundred years! We are in this for the long run… just like you!

This is why our company’s shareholders include doctors who use our products, people in the healthcare industry, employees and their families, and even some of our customers - All of whom believe in our Vision and together aspire to something new - one complete synergistic Symphony to create harmony and health for all.
